By accessing or using the website located at desiroadvertising.com (the "Site") or engaging the services of DESIRO Advertising ("we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms constitute a legally binding agreement between you and DESIRO Advertising, a company incorporated in the United Arab Emirates with its principal office at Business Village, Port Saeed, Dubai, UAE.

We reserve the right to modify these Terms at any time. We will indicate the date of the most recent revision at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

DESIRO Advertising provides the following digital marketing and advertising services:

• Performance marketing across Meta, Google, TikTok, Snapchat, LinkedIn, and other platforms.
• Agency-verified whitelisted advertising accounts on major platforms.
• Lead generation strategy and execution.
• Search engine optimisation (SEO) and pay-per-click (PPC) management.
• Web design and development.
• CRM implementation and automation.
• WhatsApp Business API integration.
• Content creation, creative production, and brand strategy.
• Analytics, tracking setup, and performance reporting.
• Outdoor and out-of-home (OOH) advertising.

The availability, pricing, and scope of services are governed by individual service agreements or statements of work entered into between DESIRO Advertising and the client.

All content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of DESIRO Advertising or its content suppliers and is protected by applicable intellectual property laws.

The DESIRO Advertising name, logo, and all related marks, product and service names, designs, and slogans are trademarks of DESIRO Advertising. You must not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for personal, non-commercial purposes only. This licence does not include the right to download (other than page caching), modify, or create derivative works from the Site's content.

Where you engage DESIRO Advertising under a service agreement, you agree to:

• Provide accurate, complete, and up-to-date information required to deliver services.
• Ensure that all creative assets, materials, and information you supply do not infringe third-party rights.
• Grant us the necessary licences to use your materials, brand assets, and data to perform the agreed services.
• Comply with the terms of service and advertising policies of all relevant third-party platforms.
• Make timely payments in accordance with the agreed payment schedule.
• Designate an authorised contact person for approvals and communications.

Both parties may have access to confidential information during the course of the engagement. Each party agrees to keep the other's confidential information strictly confidential and not to use it for any purpose other than fulfilling its obligations under the relevant service agreement. This obligation survives termination of the agreement for a period of three (3) years.

The Site and all content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

DESIRO Advertising does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific results from our marketing services, as outcomes depend on factors outside our control including market conditions, platform algorithm changes, and client-side variables.

To the fullest extent permitted by applicable law, DESIRO Advertising, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including without limitation loss of profits, data, goodwill, or other intangible losses — arising out of:

• Your use of, or inability to use, the Site or our services.
• Any unauthorised access to or alteration of your transmissions or data.
• Statements or conduct of any third party on or through the Site.
• Any other matter relating to the Site or services.

Our total cumulative liability to you for any claim arising under these Terms or a service agreement shall not exceed the total fees paid by you to DESIRO Advertising in the three (3) months preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless DESIRO Advertising and its directors, officers, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, or expenses (including reasonable legal fees) arising out of your violation of these Terms or your use of the Site or services.

The Site may contain links to third-party websites or services that are not owned or controlled by DESIRO Advertising. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites. We recommend reviewing the terms and privacy policies of any third-party sites you visit.

These Terms shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the Federal Laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation. If the dispute is not resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Dubai, UAE.

We reserve the right to suspend or terminate your access to the Site at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable service agreement, constitute the entire agreement between you and DESIRO Advertising with respect to the subject matter herein and supersede all prior and contemporaneous understandings.
